1. Acceptance of Terms

Welcome to Party App. These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Party App, a Delaware corporation ("Party App," "we," "us," or "our"), governing your access to and use of the Party App website, mobile application, and related services (collectively, the "Service").

By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.

2. Description of Service

Party App is a platform that enables businesses to create public profiles containing business information, including but not limited to business name, address, contact information, images, and videos. This information is made publicly available to help users discover and learn about businesses.

Important: All information you submit will be publicly visible to all users and visitors of our platform.

3. Eligibility

You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms.

If you are using the Service on behalf of a business or other entity, you represent and warrant that you have the authority to bind that entity to these Terms.

4. User Account

4.1 Account Creation

To use certain features of the Service, you must create an account.
You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

4.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
You agree to notify us immediately of any unauthorized use of your account.

4.3 Account Termination

We reserve the right to suspend or terminate your account at any time, with or without cause, and with or without notice, for any reason, including but not limited to violation of these Terms.

5. User Content

5.1 Content User Provide

When you use the Service, you may provide content including but not limited to:

  • Business name
  • Business address
  • Business email address
  • Phone number
  • Images of your business
  • Videos of your busines
(collectively, "User Content")

5.2 Public Nature of Content

**You acknowledge and agree that all User Content you submit through the Service will be made publicly available and accessible to other users and visitors of the Service.** Do not submit any information that you wish to keep private or confidential.

5.3 License Grant

By submitting User Content to the Service, you grant Party App a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the User Content in connection with the Service and Party App's business, including for promoting and redistributing part or all of the Service in any media formats and through any media channels.

5.4 Your Representations

You represent and warrant that:

  • You own or have the necessary rights, licenses, consents, and permissions to submit the User Content and to grant the license described above
  • Your User Content does not and will not infringe, violate, or misappropriate any third-party rights, including intellectual property rights, privacy rights, or publicity rights
  • Your User Content does not contain any material that is unlawful, defamatory, obscene, offensive, or otherwise objectionable
  • You have obtained all necessary permissions and consents to use any images or videos of individuals that appear in your User Content

5.5 Content Removal

We reserve the right, but have no obligation, to monitor, review, or remove User Content at our sole discretion, for any reason, and without notice. We may remove User Content that violates these Terms or that we deem inappropriate or objectionable.

6. Prohibited Conduct

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws or regulations
  • Submit false, misleading, or fraudulent information
  • Impersonate any person or entity or falsely state or otherwise misrepresent your affiliation with a person or entity
  • Interfere with or disrupt the Service or servers or networks connected to the Service
  • Attempt to gain unauthorized access to any portion of the Service or any other systems or networks
  • Use any automated means, including robots, crawlers, or scrapers, to access the Service without our express written permission
  • Transmit any viruses, malware, or other malicious code
  • Collect or harvest any personally identifiable information from the Service
  • Engage in any activity that could damage, disable, overburden, or impair the Service
  • Violate any third-party rights, including intellectual property rights, privacy rights, or publicity rights

7. Intellectual Property Rights

7.1 Party App Property

The Service and its entire contents, features, and functionality (excluding User Content) are owned by Party App and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

7.2 Trademarks

Party App and all related names, logos, product and service names, designs, and slogans are trademarks of Party App or its affiliates. You may not use such marks without our prior written permission.

7.3 Limited License

Subject to your compliance with these Terms, Party App grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your personal or internal business purposes.

8. Third-Party Links and Services

The Service may contain links to third-party websites or services that are not owned or controlled by Party App. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party websites or services.

You acknowledge and agree that Party App shall not be responsible or liable for any damage or loss caused by or in connection with the use of any such third-party websites or services.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

PARTY APP DOES NOT WARRANT THAT:

  • THE SERVICE WILL FUNCTION UNINTERRUPTED, SECURE, OR AVAILABLE AT ANY PARTICULAR TIME OR LOCATION
  • ANY ERRORS OR DEFECTS WILL BE CORRECTED
  • THE SERVICE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS
  • THE RESULTS OF USING THE SERVICE WILL MEET YOUR REQUIREMENTS
YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PARTY APP, ITS AFFILIATES, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE
  • ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE
  • ANY CONTENT OBTAINED FROM THE SERVICE
  • UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT
WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT PARTY APP HAS BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL LIABILITY OF PARTY APP AND ITS AFFILIATES FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO PARTY APP, IF ANY, IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

11. Indemnification

You agree to defend, indemnify, and hold harmless Party App, its affiliates, and their respective directors, officers, employees, agents, and licensors from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights, including intellectual property rights, privacy rights, or publicity rights
  • Your User Content

12. Governing Law and Dispute Resolution

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

12.2 Jurisdiction

You agree that any dispute arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the state and federal courts located in Delaware, and you consent to personal jurisdiction in such courts.

12.3 Waiver of Class Actions

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

13. Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on the Service and updating the "Last Updated" date. Your continued use of the Service after such changes constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Service.

14. Modifications to Service

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice, for any reason. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

15. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the validity, legality, and enforceability of the remaining provisions shall not be affected or impaired.

16. Waiver

No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or condition or any other term or condition, and any failure to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

17. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published by us on the Service, constitute the entire agreement between you and Party App concerning the Service and supersede all prior agreements and understandings, whether written or oral, relating to the subject matter hereof.

18. Assignment

You may not assign or transfer these Terms or any rights or obligations hereunder without our prior written consent. We may assign or transfer these Terms, in whole or in part, without restriction.
